FinanceModel is a cloud-based financial modeling and decision-support platform that enables users to create, manage, analyze, and share financial models. The Service includes:

• Financial model creation and editing tools
• Calculation engines and formula processing
• AI-assisted features (Finny) that provide guidance and suggestions
• Data import, export, and visualization capabilities
• Collaboration and sharing features

The Service is designed to assist users with financial analysis. It does not make autonomous decisions, provide financial advice, or replace professional judgment.

As a user of the Service, you are responsible for:

• Account Security: Maintaining the confidentiality of your account credentials and notifying us immediately of any unauthorized access
• Accuracy of Inputs: Ensuring the accuracy and completeness of data, assumptions, and inputs you provide to the Service
• Proper Use of Outputs: Independently validating and verifying all outputs, calculations, and results before relying on them for decisions
• Compliance: Using the Service in compliance with all applicable laws, regulations, and industry standards
• Account Information: Keeping your account information accurate and up to date
• Authorized Use: Ensuring that all users accessing the Service through your account are authorized and comply with these Terms

The Service includes AI-assisted features, including an assistant called Finny, designed to help users with modeling tasks, provide suggestions, and offer contextual guidance.

You acknowledge that AI features are tools to support—not replace—your professional judgment and due diligence.

You retain full ownership of:

• All data you upload to the Service
• Financial models you create using the Service
• Outputs and calculations generated from your inputs
• Any reports or exports you produce

FinanceModel does not claim ownership of your content. We will not use your data to train AI models or share it with other customers. Your data is logically isolated and accessible only to you and users you explicitly authorize.

You may export your data at any time through the Service's export features. Upon account termination, you may request a copy of your data in accordance with our data retention practices.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service
• Transmit viruses, malware, or other harmful code through the Service
• Use the Service to harass, abuse, or harm others
• Resell, sublicense, or redistribute the Service without authorization
• Use automated means to access the Service except through approved APIs
• Circumvent any security measures or access controls

To the maximum extent permitted by applicable law:

• FinanceModel shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• FinanceModel shall not be liable for any loss of profits, revenue, data, use, goodwill, or other intangible losses
• Our total liability for any claims arising under these Terms shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim

The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. You use the Service at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Termination by You: You may terminate your account at any time through your account settings or by contacting us. You may export your data before termination.

Termination by Us: We may suspend or terminate your access to the Service if:

• You violate these Terms or any applicable policies
• Your use poses a security risk to the Service or other users
• Required by law or legal process
• Your account remains inactive for an extended period

Effect of Termination: Upon termination, your right to access and use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

We may update these Terms from time to time to reflect changes in our practices, the Service, or legal requirements.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction and venue of such courts.
